  10. Additional ChatLegal Terms: I understand that my purchase may be subject to additional terms and conditions. I understand that ChatLegal Registered Agent Services are subject to the Supplemental Terms of Service for Registered Agent Services, legal plans are subject to the Legal Plan Contract, subscription and third-party services are subject to the Supplemental Terms of Service for Subscriptions and Third-Party Services, and tax services are subject to the ChatLegal Tax Terms of Service and ChatLegal Tax Privacy Policy. If applicable, I acknowledge that I have read and agree to the supplemental terms, which are incorporated herein by reference.
  11. Third-Party Services: If I purchased a product that involves third-party services, I understand that I may be required to accept additional terms located on the third party’s site. The third party may contact me by email and/or phone with instructions on how to access my benefits. CHATLEGAL HEREBY DISCLAIMS LIABILITY FOR ANY INFORMATION, MATERIALS, PRODUCTS, OR SERVICES POSTED OR OFFERED AS PART OF ANY THIRD-PARTY SERVICES. CHATLEGAL IS NOT LIABLE FOR ANY FAILURE OF PRODUCTS OR SERVICES OFFERED OR ADVERTISED AT THOSE SITES.   12. Future Products and Services: If I choose to add a product or service to my order subsequent to this initial purchase, these Terms of Service will apply to that additional product or service purchase as well.
  13. Abandoned Orders: My purchase may allow me to create my own legal documents. I understand that, other than as required by applicable law, I shall have no right to cancel, request a cash refund, or obtain store credit for any undelivered order after 120 days have elapsed from the purchase date unless ChatLegal is at fault. All itemization of fees is displayed for convenience only. Delivered orders shall be governed by the ChatLegal Satisfaction Guarantee. Both parties acknowledge that ChatLegal is out of pocket time and money for undertaking the work, and both parties fully intend to complete the order. Abandoned orders will result in liquidated damages equal to the amount paid to ChatLegal for reimbursement of our commitment to service this order.
  14. Exchanges: I understand that I may request an exchange of one product for a different product and complete a replacement order within 60 days of my purchase. The purchase price of the original item, less any filing fees, taxes, or other third-party costs, will be credited to my ChatLegal account. Any price difference between the original order and the replacement order (less any filing fees, taxes, or other third-party costs) will be credited to my original form of payment.
  15. Dispute Resolution: Any disputes between me and ChatLegal related to my purchase or these Terms of Service will be resolved by binding arbitration on an individual basis, rather than jury trials or class actions, as described in the ChatLegal Arbitration Agreement. The arbitration agreement also limits the remedies available to me in the event of a dispute.

Termination: ChatLegal reserves the right, in its sole discretion, to terminate my account or use of the ChatLegal Site and services, and to remove and discard any content within the Site, for any reason, including and without limitation, for lack of use or if ChatLegal believes that I have violated or acted inconsistently with the letter or spirit of these Terms of Service. Any suspected fraudulent, abusive, or illegal activity that may be grounds for termination of my use of the Site and services may be referred to appropriate law enforcement authorities. ChatLegal shall not be liable to me or any third party for any termination of my access to the Site or services.
  20. Changes to the Terms of Service: ChatLegal may change, modify, add, or remove portions of these Terms of Service at any time. If ChatLegal changes these Terms of Service, it will notify me by posting the updated Terms of Service on the ChatLegal Site or sending me an email. By continuing to use the ChatLegal Site or services after the changes are posted, I am indicating my acceptance of the updated Terms of Service.
  21. Governing Law: These Terms of Service shall be governed by and construed in accordance with the laws of South Africa, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms of Service will be brought exclusively in the courts located in South Africa, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.

Force Majeure: ChatLegal shall not be liable for any failure to perform its obligations under these Terms of Service, where such failure results from any cause beyond ChatLegal’s reasonable control, including but not limited to, mechanical, electronic, or communications failure or degradation.
  23. Assignment: I may not assign these Terms of Service without the prior written consent of ChatLegal, but ChatLegal may assign or transfer these Terms of Service, in whole or in part, without restriction.
  24. Notices: All notices given by me or required under these Terms of Service shall be in writing and addressed to: ChatLegal, Attn: Legal Department, 15 Kraaibosch Ridge, Goerge, South Africa. ChatLegal may give notice to me by means of a general notice on the ChatLegal Site, electronic mail to my email address on record in ChatLegal’s account information, or by written communication sent by first-class mail, postage prepaid, or overnight courier to my address on record in ChatLegal’s account information.
  25. No Waiver: The failure of ChatLegal to enforce any right or provision of these Terms of Service will not constitute a waiver of future enforcement of that right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of ChatLegal.
  26. Relationship of the Parties: These Terms of Service do not create any partnership, joint venture, employer-employee, agency, or franchisor-franchisee relationship between me and ChatLegal.
  27. (b) your violation of any provision of these Terms of Use or the policies or agreements which are incorporated herein; and/or (c) your violation of any third-party right, including without limitation any intellectual property or other proprietary right. The indemnification obligations under this section shall survive any termination or expiration of these Terms of Use or your use of this Site or the Services found at this Site.
  28. Governing Law; Jurisdiction; Venue; Severability of Provisions.

  36. a. An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright or other intellectual property interest; b. A description of the copyrighted work or other intellectual property that you claim has been infringed; c. A description of where the material that you claim is infringing is located on the Site; d. Your address, telephone number, and email address; e. A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and f. A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright or intellectual property owner or authorized to act on the copyright or intellectual property owner’s behalf.
  37. Compliance with Export Restrictions.

As applicable, you shall obtain and bear all expenses relating to any necessary licenses and/or exemptions with respect to your own use of the Services outside South Africa. Neither the Services nor the underlying information or technology may be downloaded or otherwise provided or made available, either directly or indirectly, (a) into any country subject to South African trade sanctions, to individuals or entities controlled by such countries, or to nationals or residents of such countries other than nationals who are lawfully admitted permanent residents of countries not subject to such sanctions; or (b) to anyone on the South African Treasury Department’s list of Specially Designated Nationals and Blocked Persons or the South African Department of Commerce’s Table of Denial Orders. ChatLegal reserves the right to terminate your receipt, transmission, or other distribution of any such material using the Service, and, if applicable, to delete any such material from its servers. ChatLegal intends to cooperate fully with any law enforcement officials or agencies in the investigation of any violation of these Terms of Use or of any applicable laws.
  43. Miscellaneous.
  44. No agency, partnership, joint venture, or employment is created as a result of these Terms of Use and you do not have any authority of any kind to bind ChatLegal in any respect whatsoever. The failure of either party to exercise in any respect any right provided for herein shall not be deemed a waiver of any further rights hereunder. ChatLegal shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond ChatLegal’s reasonable control, including, without limitation, mechanical, electronic, or communications failure or degradation. If any provision of these Terms of Use is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms of Use shall otherwise remain in full force and effect and enforceable. These Terms of Use are not assignable, transferable, or sublicensable by you except with ChatLegal’s prior written consent.   48. Dispute Resolution.

  57. (a) Trademark and Patent. By placing my order, I give ChatLegal the express authority to file my application with the Companies and Intellectual Property Commission (CIPC) in South Africa. After placing my order, ChatLegal may send me material to review or contact me for information regarding my order. In either case, if I do not respond to ChatLegal within 7 days, it may file my application to avoid filing delays. I understand that I may be contacted by the CIPC for other information after my application has been filed.
  58. (b) Trademark Electronic Filing and Communications. ChatLegal may authorize the CIPC, on my behalf, to contact me at the email address I have provided in my order. I agree to submit documents and communications electronically using the CIPC system. I understand that if I fail to comply with these requirements, the CIPC may charge me an additional processing fee, and ChatLegal will not pay it on my behalf.
  59. (c) Copyright. By placing my order, I give ChatLegal the express authority to file my application with the South African Copyright Office. After placing my order, ChatLegal may send me material to review or contact me for information regarding my order. In either case, if I do not respond to ChatLegal within 60 days, it may file my application to avoid filing delays. I understand that I may be contacted by the South African Copyright Office for other information after my application has been filed.
  60. ChatLegal Trademark Search.
  61. Each ChatLegal trademark search includes information about active South African trademarks as available in the CIPC website database at the time the search is conducted. A ChatLegal trademark search may not include information about inactive trademarks, although marks with these statuses can, in certain circumstances, affect the registrability of your mark and/or your ability to use it in commerce. Active trademarks are those either currently pending or registered and presumed up-to-date with the CIPC, and can be used as a bar to a new trademark registration. Generally, inactive marks will not be used to bar a new trademark registration, although an abandoned application can be revived under certain circumstances. Moreover, an individual may claim common law rights because of its commercial use of a trademark. Without limitation, ChatLegal accepts no responsibility or liability for any impact that any inactive application or registration, or common law use, may have on your registration or trademark.
